Acceptance of Terms

These Terms of Service (“Terms”) form a legal agreement between Nova Games Limited and its affiliated entities (“NG” or “we”) and you (“user” or “you”). By accessing or using any NG game or application (“Service”), you agree to be bound by these Terms. By using the Service, you confirm that you have read, understood, and accepted these Terms. NG reserves the right, at its sole discretion, to modify or amend these Terms at any time, and you agree to be bound by such changes. If you do not agree to these Terms, please refrain from using the Service.

Users are responsible for regularly reviewing the Terms. Your continued use of the Service following any modifications or updates constitutes acceptance of the revised Terms. If you do not agree with the Terms, your sole recourse is to stop using the Service and cancel any accounts created through the Service.

If you breach the Terms, NG reserves the right to issue a warning regarding the violation or to immediately suspend or terminate any or all accounts created using the Service. You acknowledge that NG is not required to notify you prior to account suspension or termination, though it may choose to do so.

In the event of any violations of these Terms or other rules set by NG, NG reserves the right to deny access to the Services without notice. You agree that NG may discontinue the Service or alter its content at any time, for valid reasons, with or without prior notice to you, and without liability.

You represent that you are at least 13 years old. If you are between 13 and 18 years of age, you confirm that your legal guardian has reviewed and agrees to these Terms.

Virtual Currencies/Goods

NG’s Service may offer you the option to purchase virtual, in-game currency (“Virtual Currency”) by paying real money. This Virtual Currency has no cash value outside the Service and cannot be redeemed for real-world money, goods, or any item of monetary value from NG or any third party.

Purchases of Virtual Currency are final and cannot be refunded, exchanged, or transferred, except at NG’s sole discretion. Any attempts to buy, sell, or exchange Virtual Currency outside the Service or through platforms not authorized by NG violate these Terms and may result in account termination or legal actions.

NG reserves the right to modify, manage, or remove the type, nature, or value of Virtual goods at its sole discretion. Prices and availability of virtual goods within the game are subject to change without prior notice.

To enhance payment flexibility, NG may provide access to various payment channels, including third-party platforms. These payment channels are subject to modification at NG’s discretion over time.

All personal data, including account information and transaction records, will be securely managed within the Service. Please ensure you access the Service in a secure environment to protect against potential losses.

Rules of Conduct/Usage

NG’s Service may feature various communication platforms, including forums, community boards, or chat areas (“Communication Channels”), to support user interaction. NG provides these Communication Channels as part of the Service and reserves the right to modify, control, or terminate all or part of these channels at its discretion. While NG is not obligated to monitor these channels, it reserves the right to review and remove any content at any time, with or without notice.

NG may suspend or revoke your access to any Communication Channels if the rules or Terms governing them are breached, without prior notice. You acknowledge that any chats, posts, or materials shared by users within these channels are not endorsed or controlled by NG, and NG assumes no liability for activities within the Communication Channels.

All communications in the Communication Channels are considered public, and users should have no expectation of privacy regarding their use. NG is not responsible for any information you choose to share or for the actions of others within these channels.

You agree to use the Service lawfully and to follow all usage rules. The following examples, though not exhaustive, outline prohibited activities. You agree not to use the Service to:

  • Defame, harass, mock, or intimidate any individual in a hateful, racial, ethnic, or objectionable manner.
  • Share or post content that is obscene, vulgar, pornographic, or otherwise offensive.
  • Impersonate others or falsely present yourself as an NG employee or representative.
  • Upload or share malicious files, including viruses or harmful software.
  • Attempt to obtain personal information from other users.
  • Infringe on the intellectual property or privacy rights of any party.
  • Use the Service for non-personal purposes, such as sending advertisements or engaging in commercial activities.
  • Bypass or interfere with security measures related to the NG Service.
  • Share real-world personal information of others within NG’s services or related forums.
  • Misuse support channels or complaint mechanisms to file false reports.
  • Develop, distribute, or promote “auto” programs or other software designed for cheating or violating license terms.
  • Violate laws, promote illegal activities, or distribute counterfeit software.
  • Exploit, disclose, or encourage others to exploit game bugs or errors.
  • Engage in cheating or any behavior that NG deems contrary to the intended spirit of the Service.

Modifying, Suspending, and Terminating Our Services

NG is dedicated to the ongoing evolution and enhancement of its Services, which may entail adding, removing, suspending, or discontinuing functionalities, features, or the Service itself.

  • When suspending the Service for system maintenance or upgrades, NG will make reasonable efforts to notify users in advance.
  • NG reserves the right to immediately terminate the Service if there are violations of social norms, applicable laws, or regulations.
  • Accounts that remain inactive for over 90 consecutive days may be deactivated.
  • In the event of violations of NG’s Terms or rules, NG may take corrective actions, which may include temporary account isolation, suspension, deactivation, or the restriction or termination of Service access.
  • With the exception of the situations outlined above, NG may suspend or terminate all or part of the Service with at least 15 days’ prior notice. In cases where unforeseen circumstances prevent prior notification, NG assumes no liability for any resulting loss experienced by users or third parties due to the Service’s suspension or termination.

Intellectual Property/Ownership

All elements of the Service, including but not limited to designs, text, graphics, images, videos, information, applications, software, music, sound, and other files, and their arrangement, are legally protected against unauthorized use.

  • The entire content within the Service is protected under copyright laws in the Hong Kong Special Administrative Region, China, and applicable laws in other jurisdictions. You agree that no part of the Service’s content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold, in whole or in part, without the express prior written permission of NG, except for User Content (as defined below) that you legally post on the Site. Any other use of copyrighted materials, including derivative works, requires the express prior written consent of NG. Unauthorized reproduction or distribution contrary to these Terms is prohibited and may lead to severe civil and criminal penalties.
  • NG and/or its licensors retain all rights, title, and interest, including copyrights and other intellectual property rights, in all materials posted on the Service by NG. By using the Service or accessing any materials posted by NG or related derivative works, you acknowledge that no ownership rights are acquired.
  • NG grants you a personal, non-exclusive, non-transferable, revocable, limited license to use the Service solely for viewing and using the applicable Services and for no other purpose. Your use of the Services remains subject to these Terms.

User Content

By using the tools and technology provided by NG, you consent to publish content on the Service willingly. You acknowledge and agree that, unless you receive explicit written permission from NG, you may not distribute, sell, transfer, or license this content or application in any manner, in any location, or on any platform, including social networks or other media.

  • Any data, text, graphics, photographs, and their organization (collectively referred to as “User Content”) uploaded to the Service may be utilized by NG for commercial, non-commercial, and/or promotional purposes, unrestricted in scope. User Content, including but not limited to text, graphics, and photographs, is uploaded by users and remains the sole responsibility of its originator. Therefore, users are responsible for any content they upload, post, or otherwise make available, and NG assumes no liability for such content. NG may or may not monitor User Content and does not guarantee its accuracy, quality, or integrity. By accessing NG’s Service, you acknowledge and accept that you may encounter material that you find offensive or objectionable. You agree that NG shall not be held liable under any circumstances for any User Content, including any errors, omissions, or losses or damages resulting from the use of User Content.
  • NG reserves the right to remove and permanently delete any User Content from the Service, with or without prior notice.

Disclaimer of Warranty; Limitation of Liability

NG makes no guarantee that the Service will fully meet your requirements, nor that the Service will be uninterrupted, timely, secure, or error-free.

  • You acknowledge that your use of the Service is entirely at your own risk. To the fullest extent permitted by law, NG, along with its officers, directors, employees, and agents, disclaims all express or implied warranties related to the website and your use thereof, including but not limited to warranties of title, merchantability, fitness for a particular purpose, non-infringement, accuracy, authority, completeness, usefulness, and timeliness.
  • NG makes no representations or warranties regarding the accuracy or completeness of the Service’s content or any linked medium’s content and assumes no responsibility for (i) errors or inaccuracies in content, (ii) personal injury or property damage arising from your access to and use of the Service, (iii) unauthorized access to or use of our secure servers and/or any personal or financial information stored within, (iv) any interruption or cessation of transmission to or from the Service, (v) bugs, viruses, trojan horses, or similar threats that may be transmitted to or through the Service by any third party, or (vi) errors or omissions in any content, or any loss or damage of any kind resulting from the use of any content posted, emailed, transmitted, or otherwise made available via the Service.
  • In no event shall NG, its directors, officers, agents, contractors, partners, or employees be held liable to you or any third party for any special, direct, indirect, incidental, punitive, or consequential damages of any kind, including but not limited to lost profits or lost data, arising from your use of the Service or materials accessed through or downloaded from the Service, whether based on warranty, contract, tort, or any other legal theory, even if NG has been advised of the possibility of such damages. This limitation of liability applies to the maximum extent permitted by law in the applicable jurisdiction. You agree that NG will not be liable for user submissions or any defamatory, offensive, or illegal conduct of any third party, with the entire risk for the foregoing resting solely with you.
  • You agree to indemnify and hold NG, its directors, agents, contractors, partners, and employees harmless from any loss, liability, claim, demand, damages, costs, and expenses, including reasonable attorney’s fees, arising from or in connection with (i) your use of and access to the Service, (ii) your violation of these Terms, (iii) your violation of any third-party rights, including without limitation copyright, property, or privacy rights, (iv) any claim that your User Content caused harm to a third party, or (v) any content you post or share on or through the Service.

Applicable Law and Jurisdiction

By using the Service, you acknowledge and agree that these Terms of Service, as well as any disputes or claims that may arise between you and NG, will be governed by the laws of the Hong Kong Special Administrative Region, China, without reference to any conflict of laws principles or your physical location. Any dispute, claim, or controversy related to your use of the Service shall be exclusively settled by a competent court within the Hong Kong Special Administrative Region, China. You consent to this jurisdiction and waive any objections related to personal jurisdiction or inconvenient forum with respect to venue and jurisdiction in Hong Kong.

NG reserves the right to amend these Terms of Service at any time without prior notice, and it is your responsibility to periodically review them for updates. By continuing to use the Service after any revisions, you signify your agreement to the updated Terms.

Both you and NG agree that any claim or dispute arising from or related to the Service must be filed within two (2) years of the event giving rise to the claim. Claims filed after this period will be permanently waived.
